Contract Terms:

General Assumptions:

• Arham Techpro's project timelines and costs are contingent on client meeting participation and approval. Delays resulting from the client's inability to meet approval, content supply, or meeting deadlines may impact the project schedule, and Arham Techpro cannot be held responsible for such delays.
• In the event that the client-caused delay affects the delivery of project deliverables, Arham Techpro reserves the right to issue invoices, whether partial or full, for works already completed, even if this falls outside the agreed payment schedule. These interim invoices may be issued as necessary.
• For each project phase, the Customer will designate one client project lead to ensure a streamlined process and provide consolidated written feedback.
• When needed, Arham Techpro may collaborate with specialist third-party partners and suppliers to guarantee the timely and high-quality delivery of commissioned works. These partners may include print suppliers, photographers, illustrators, and other relevant experts to enhance the service offering .
• It's important to note that 'project management' includes management of design and development as well as content management, but in initial stage, clients must be ensure all the designing & developing documentation like proper design frame, content & article, brand info & logo with relevant ing etc.
• In the case of multiple design concepts, only one is considered as fulfilling the contract, and all other artwork designs remain the property of Arham Techpro unless stated otherwise in writing.

Billing Charges, Estimates and VAT:

• Arham Techpro shall charge costs, charges, and expenses as agreed upon in writing with the Client for the provision of goods and services. Estimates/quotes remain valid for 14 days from the date of issuance. Work will commence only after acceptance of the estimate/quote and receipt of any required deposit.
• Estimates are based on current production costs and are subject to change. All amounts stated are exclusive of Value Added Tax (VAT),which the Customer agrees to pay as applicable. Additional costs incurred by Arham Techpro on behalf of the Customer will be charged monthly or included within project quotations.
• For each project phase, the Customer will must be ensure the payment as mention invoice clauses like millstone wise or project complete duration or initial & final complete the project wise.
• All costs stated on estimates are based on information given at the time of the estimate being issued. Any additional information supplied may result in additional costs.

Authority & Proofs:

• Written or verbal approval by the Customer of designs, drafts, proofs, or estimates may be considered authorization for Arham Techpro to proceed and enter into contracts with suppliers based on the provided quotes.
• Proofs of all work may be submitted for the Customer's approval, and Arham Techpro shall not be responsible for errors not corrected by the Customer in such proofs. Any alterations or additional proofs required due to Customer-requested changes will incur additional charges. Arham Techpro will not be liable for errors in proofs accepted by the Customer.

Property and Risk management:

• Arham Techpro shall maintain ownership of all materials and goods it produces for the Customer until full payment is received for all rendered digital products and services.
• The responsibility and risk associated with the goods will transfer to the Customer upon delivery.
• Materials provided to Arham Techpro by or on behalf of the Customer will be at the Customer's risk while in the possession of Arham Techpro or in transit, and the Customer is responsible for insuring these materials accordingly.

Copyright & Licensing:

• Any work created for the client by Arham Techpro is licensed for one-time use and cannot be modified, re-used, or re-distributed without written consent from Arham Techpro and its relevant sub-contractors.
• The client is responsible for ensuring that no copyright or trademark has been infringed, and they must independently apply for copyright or trademark with the appropriate authorities if necessary.
• Unless explicitly agreed otherwise in writing, the copyright and intellectual property rights in all work produced by Arham Techpro shall be and remain the exclusive property of Arham Techpro.
